These Terms of Service govern your use of Skyup Magnetics' services and products. By engaging with our company, you agree to these terms. Please read them carefully.
1. Definitions
"Company" refers to Skyup Magnetics, a manufacturer of sintered NdFeB magnets.
"Client" refers to any individual or entity purchasing products or services from the Company.
"Products" refers to sintered neodymium-iron-boron (NdFeB) magnets and related magnetic materials.
"Services" includes product customization, sampling, technical support, and logistics.
2. Scope of Services
The Company provides:
- Manufacturing and supply of sintered NdFeB magnets in various grades and specifications
- Access to existing production molds to reduce tooling costs
- Free sampling for new project validation
- Technical consultation for magnetic circuit optimization and grade selection
- International shipping and export services (products exempt from dual-use export certificates)
3. Orders and Quotations
3.1 Quotation Requests
Clients must provide complete specifications including dimensions, grade, coating, tolerances, and quantity for accurate quotations.
3.2 Order Confirmation
Orders are binding once confirmed in writing by both parties. The Company reserves the right to reject orders that do not meet technical or commercial feasibility.
3.3 Modifications
Changes to confirmed orders must be requested in writing and are subject to approval. Additional costs or lead time may apply.
4. Pricing and Payment
4.1 Pricing
Prices are quoted in USD and are valid for 30 days unless otherwise stated. Prices exclude shipping, customs duties, and taxes unless explicitly included.
4.2 Payment Terms
Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. Alternative terms may be negotiated for established clients.
4.3 Currency Fluctuations
The Company reserves the right to adjust pricing if significant currency fluctuations occur between quotation and production.
5. Sampling
Free samples are provided for new project evaluation. Clients are responsible for courier costs unless otherwise agreed. Samples are for testing purposes only and not for resale.
6. Production and Delivery
6.1 Lead Times
Standard lead times range from 15-30 days depending on order complexity and quantity. Rush orders may incur additional fees.
6.2 Delivery
The Company will arrange shipment via the agreed method (air/sea freight). Risk transfers to the Client upon delivery to the carrier.
6.3 Delays
The Company is not liable for delays caused by force majeure, customs clearance, or carrier issues.
7. Quality Assurance
7.1 Standards
All products are manufactured to meet agreed specifications and industry standards for magnetic properties and dimensional tolerances.
7.2 Inspection
Clients must inspect products within 7 days of receipt and report any defects in writing with photographic evidence.
7.3 Warranty
The Company warrants products against manufacturing defects for 12 months from shipment date. Warranty does not cover damage from misuse, improper storage, or normal wear.
8. Returns and Refunds
Defective products may be returned for replacement or credit at the Company's discretion. Custom-made products are non-returnable unless defective. Return shipping costs are borne by the Client unless the defect is confirmed as manufacturing error.
9. Intellectual Property
All technical drawings, specifications, and proprietary information shared by either party remain the property of the disclosing party. The Company respects Client confidentiality and will not disclose project details to third parties.
10. Limitation of Liability
The Company's total liability for any claim shall not exceed the value of the specific order in question. The Company is not liable for indirect, incidental, or consequential damages including lost profits or production delays.
11. Export Compliance
While the Company's NdFeB magnets are exempt from dual-use export certificates, Clients are responsible for compliance with import regulations in their destination country. The Company provides necessary documentation (commercial invoice, packing list, certificate of origin) to facilitate customs clearance.
12. Dispute Resolution
Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be settled through arbitration in accordance with international commercial arbitration rules.
13. Amendments
The Company reserves the right to update these Terms at any time. Clients will be notified of material changes. Continued use of services constitutes acceptance of revised Terms.
